TERMS OF SERVICE

1. Acceptance of Terms

By accessing or using the services provided by Alignment Chiropractic CRM ("Company," "we," "us," or "our") through alignmentcrm.com, you ("Client") agree to be bound by these Terms of Service. If you do not agree, do not use our services.


2. Services Provided

Alignment Chiropractic CRM provides software-based CRM, marketing automation, AI receptionist, SMS/email communication, appointment booking, reputation management, and related digital tools designed for chiropractic and health and wellness practices.


3. Fees & Billing

A one-time setup fee is due prior to onboarding.

Monthly subscription fees are billed on the same date each month.

All fees are non-refundable unless otherwise agreed upon in writing.

Failure to pay within 7 days of the due date may result in suspension of services.

We reserve the right to adjust pricing with 30 days written notice.


4. SMS & Communications Compliance

By using our SMS automation tools, you agree to:

Obtain proper written consent from all contacts before sending SMS messages.

Comply with the Telephone Consumer Protection Act (TCPA) and all applicable regulations.

Honor all opt-out requests immediately (STOP commands).

Not use our platform to send spam, unsolicited, or illegal messages.

You are solely responsible for your SMS campaigns and contact lists. We are not liable for any regulatory violations resulting from your use of our communication tools.


5. HIPAA Notice

Alignment Chiropractic CRM is designed with HIPAA-conscious practices, including consent-based communication and PHI-safe boundaries. However, we are not a HIPAA Business Associate and do not sign Business Associate Agreements (BAAs). Clients are responsible for ensuring their own HIPAA compliance. Do not transmit Protected Health Information (PHI) through our platform.


6. Client Responsibilities

You agree to:

Provide accurate account and billing information.

Use our services only for lawful purposes.

Not resell or sublicense our services without written permission.

Maintain the confidentiality of your account credentials.

Comply with all applicable federal, state, and local laws.


7. Intellectual Property

All content, software, workflows, templates, and materials provided by Alignment Chiropractic CRM remain our exclusive property. You are granted a limited, non-transferable license to use them solely for your business operations during your active subscription.


8. Cancellation

Either party may cancel with 30 days written notice. Upon cancellation, your access to the platform will continue through the end of your current billing period. No partial refunds will be issued for unused time.


9. Limitation of Liability

To the maximum extent permitted by law, Alignment Chiropractic CRM shall not be liable for any indirect, incidental, or consequential damages, including lost revenue, lost patients, or data loss. Our total liability shall not exceed the amount paid by you in the three months prior to the claim.


10. Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Connecticut.


11. Changes to These Terms

We may update these Terms at any time. We will notify you via email at least 14 days before changes take effect. Continued use of our services constitutes acceptance of the updated Terms.
